Mission of Organization:
- Explore the feasibility of establishing an AED program for Hacienda South and West neighborhoods.
- Educate interested Hacienda South and West neighbors in the value, costs, installation, participation, and maintenance of a neighborhood AED program.
- Solicit founder contributions for the initiation of the Hacienda SouthWest AED program as well as solicit founder contributions from new residents in Hacienda South and West neighborhoods throughout the year.
Solicit pool of volunteers to carry out the AED program. - Develop and install the AED program for Hacienda South and West neighborhoods; purchase of AED devices and related materials, installation of AED equipment, training of initial responder volunteers, and establishment of a ReadyAlert responder call list.
- Maintain AED services in Hacienda South and West; inspection of AED units, timely maintenance of AEDs which may need replacement pads, batteries, and the units themselves, as well as maintenance of current responder call lists with the ReadyAlert communication services.
- Solicit monies from the Hacienda South and West neighborhoods for the maintenance costs of the AED equipment and ReadyAlert subscription every few years as needed.
- Maintain a Board of Directors to carry out the above functions.
Board of Directors:
The initial members of the Board of Directors shall be the individuals designated herein. Thereafter, the Board of Directors shall elect new directors at an annual meeting of the Board or at such other time as the Board shall designate including by way of unanimous written consent. The Board shall have authority to increase their number, remove directors and/or fill vacancies in accordance with the provisions of the by-laws. Each Board member shall have the right to vote at any board meeting.
The composition of the Board should be such that at least one member from Hacienda South and one member from Hacienda West is a member of the Board.
Coordinator:
It is the responsibility of the Coordinator to oversee the day-to-day operation of the AED program, insure that funds are collected and turned over to the treasurer. The Coordinator will also set up a program to ensure that the neighborhood AEDs are up-to-date and that they are ready to be used in the event of an emergency. The Coordinator shall be one of two signatories on the Hacienda SouthWest AED Club’s bank account.
Vice Coordinator:
It is the responsibility of the Vice Coordinator to assist the Coordinator with any and all duties enumerated above. He/she will also serve as the Coordinator in the absence of said person and help maintain/coordinate the neighborhood AED ReadyAlert volunteer (responder) list throughout the year.
Treasurer:
It is the responsibility of the Treasurer to handle all funds, see that they are deposited, and pay all invoices related to the operation of the Hacienda SouthWest AED Club. He/she will also assist the Coordinator with the collection of funds to insure the continued operation of the program. The Treasurer shall be one of two signatories on the Hacienda SouthWest AED Club’s bank account.
Secretary:
It is the responsibility of the Secretary to maintain records regarding the program. He/she will also record and maintain records of any meetings held of the officers of the club or general meetings of the Hacienda SouthWest AED Club. He/she will assist the Coordinator with any and all duties enumerated above including maintaining a list of general (non-responder) volunteers for the AED program.
Member at Large:
He/she will assist the Coordinator with the set-up and collection of funds as well as help with the continued operation of the AED program.
Board-Staff Liaison:
It is the responsibility of the Board-Staff Liaison to interact with the residents of the Hacienda SouthWest AED Club neighborhood to answer questions and provide education and training.
Election/Selection of Officers:
All officers (listed above) are chosen by consensus of the membership of the Hacienda SouthWest AED Club. No specific election occurs, as volunteers are asked to fill the positions. As individuals volunteer, and with concurrence of the membership, those volunteers assume the respective positions listed above.
Term of Office: Each Director serving at the time of inception shall serve for a two-year term and until a successor is elected by the Board; a Director may be re-elected to additional terms. Nominations for a Director position will be made by the households who made contributions to the AED Program. The terms of office shall be staggered so that no more than 3 Directors are replaced at one time.
Resignation: Any director may resign at any time by notifying the Board of Directors in writing. Such resignation shall take effect at the time specified therein.
Removal of Officers: Any Director may be removed by the Board of Directors whenever in its judgment the best interests of the Hacienda SouthWest AED Club will be served.
Vacancies: Vacancies in the Board of Directors shall be deemed to exist in the event of the resignation, removal or death of a director. Any such vacancy shall be filled by a majority vote of the remaining members of the Board of Directors, though less than a quorum.
New Positions: The Board of Directors may create other such offices as it may deem necessary.
Requirements for membership in the Hacienda SouthWest AED Club:
Hacienda SouthWest AED Club members are the households which provide a Founder contribution to the AED fund. Hacienda SouthWest AED Club will provide emergency response to all households within Hacienda South and Hacienda West, including non-member households.
Voting is limited to one vote per household.
Liability:
In the absence of fraud or bad faith, the directors of the Hacienda SouthWest AED Club shall not be personally liable for its debts, obligations or liabilities.
Meetings:
There are no regularly scheduled meetings of the Hacienda SouthWest AED Club membership; however, information/updates are transmitted electronically via e-mail and will be listed on the Hacienda SouthWest Women’s Club website. Meetings may be called as needed by the Coordinator.
Dues:
There are no dues although each household will be solicited for a donation of at least $100.00 initially to purchase the AED equipment and to pay for the ReadyAlert notification system. Residents in the neighborhood understand that every few years the officers will be collecting additional contributions per household as necessary to pay the annual charges for ReadyAlert subscription and other maintenance costs to maintain the function of the AED system as approved by the Board.
Organization Affiliation:
The Hacienda SouthWest AED Club is operated in cooperation with The Villages Public Safety Department and is overseen by the Department’s Medical Director.
Amendment of By-Laws:
These by-laws may be amended at any duly constituted meeting of the Board of Directors, by a majority vote of the directors present at such meeting, provided that notice of intent to amend the by-laws was given to all Directors and a quorum is present at such meeting.
